Terms of service
The contract between you and Arodeni for the Panel, for custom work, and for this website.
If this English text and the Spanish text differ, the Spanish text controls.
Who this contract is with
Arodeni is the software studio in Caracas, Venezuela that publishes arodeni.com and app.arodeni.com. These terms are a contract between Arodeni and you.
You are the person or the business that creates an account, pays for a plan, approves a quote, or uses the site. If you create an account for a business, you confirm that you can bind it, and “you” means that business.
These terms cover the website, Arodeni Panel, and custom work we do for you. A written quote controls the scope, the price and the schedule where it differs from the custom-work section below. These terms do not make Arodeni the seller of what a shop sells.
Notices to us go to [email protected] (opens in a new tab). Notices to you go to the email on the account, and you keep that address current.
How you accept
You accept these terms and the Privacy policy when you create an account, pay for a plan or a project, or ask us to start work. The Refunds page is part of these terms.
The Spanish text controls if it differs from the English. We keep the version you accepted.
Reading the site, or sending a brief, does not by itself start a project. A project starts when you approve a quote and the first payment is confirmed.
The Panel
Arodeni Panel is the software at app.arodeni.com. The plan you pay for is the one shown, at its price in US dollars, on the day you accept it.
The trial is the number of days of Premium shown on the site, with no card. When it ends, you choose a paid plan or stay on the free plan, with what you loaded. We do not charge the trial.
The free plan is the one described on the site. It is not billed and it does not expire. We can change what the free plan includes. We do not delete the records you already keep because you are on it.
We provide the functions of the plan you are on. We do not promise uninterrupted service, and we do not promise that a figure, a total or a text is free of error.
A document in the Panel, including a delivery note, a receipt, a quote or a list, is your commercial record inside the software. It is not a fiscal invoice, a debit or credit note, or a withholding voucher, unless you issue it through a channel SENIAT authorizes. VAT, the sales book, and the choice of a fiscal machine, a digital printer or the SENIAT portal stay with you. Hosting your records does not make Arodeni the taxpayer.
Accounts and your team
You sign in with email and a password, or with Google, and with a second factor where the product asks for one. You are responsible for whom you invite, the role you give them, and the PINs of your registers. We are not the cashier, and we do not hold the cash in the drawer.
Do not share logins. Use the controls the product gives you. We do not promise that a password, a second factor or a PIN makes access impossible.
Plans and payment
Prices are in US dollars, as shown on the site. You can pay for a month, or for 3, 6 or 12 months at the price of that term. You can pay with PayPal, with a card through PayPal, in crypto (Bitcoin, Ethereum or USDC) for the whole period up front, or by Pago Móvil, bank transfer or Zelle when we offer that and confirm the payment.
Arodeni is the seller of the plan. PayPal is how the payment is taken. PayPal is not the seller.
You are not locked in. You can move up, down or cancel whenever you want. Cancelling stops the next charge. The period you have already paid for runs to its end, and you keep the Panel until then. A term of 3, 6 or 12 months is one period: cancelling does not split it and return the unused months. The details are on the Refunds page.
A change of price, or of what a paid plan includes, applies from the next period, after we tell you at the account email. You can cancel before that period. If the payment rail asks you to approve the change and you do not, you stay on the plan and the price already paid until that period ends.
If a payment fails, the plan can go unpaid and access can stop until it is paid. Your records stay. We do not delete them for non-payment.
A crypto payment does not renew by itself. It is complete when we confirm the amount that arrived, not when you send it. Network fees and any shortfall are yours. Pago Móvil, a transfer and Zelle turn the plan on when we confirm them.
Paying in dollars or in crypto is not a statement that you or we hold a licence to operate an exchange, and it does not move your tax or exchange duties onto us.
Custom work
Custom work is a website, a store, a system, an app, or anything else we quote for you. The quote you approve in writing sets what is included, what it costs and how long it takes. Half is paid to start, and the other half at the end or stage by stage, unless the quote says otherwise. We do not start until that first payment is confirmed.
If you stop the project, we stop. We hand you what was finished. We do not charge a stage we have not started. Once we have started, the first payment is earned as the work goes and is not refunded. If you cancel before we start, we return that payment, except money we already spent on your behalf, such as a domain or a third-party fee.
The source code of a custom system is not part of the usual price. We quote it separately if you want it while we look after the system. If we stop looking after that system, we hand you the code so it can keep running.
Your data in that system is yours. When you ask, we hand you a copy of the business data it holds, in a common format.
A brief on this site is a question, not an order. Nothing is built or charged until you approve the quote. We can decline a project.
Your data
The catalogue, inventory, sales, customers, cash closes and shop content you put in the Panel are yours. They do not become ours because we host them.
You give us permission to host them, back them up, show them, and send them to the providers we need in order to run the service, and to defend the service against abuse. That permission ends when the data is deleted, except the copies named in the Privacy policy. We do not take a licence to train models on your business data, or to sublicense it.
Cancelling does not delete your records. The free plan may stop showing older sales while still keeping them. You can ask for a copy, and you can ask us to delete what we are not required to keep. How to ask, and what we keep, is in the privacy policy.
You need your own basis for loading your customers' data, and you publish your own notice for them. If you are a merchant, the duty to keep your books and vouchers is yours. We are not your legal archive.
Shops and your customers
If you run a shop on the Panel, including on your own domain, you are the seller. We provide the software. We do not set the price, we do not take your customer's cash, transfer or pago móvil, and we do not promise the delivery or the quality of what you sell.
You publish your own conditions for returns, delivery and complaints, and your own privacy notice, before you collect your customers' data. You keep a notice that the shop is yours and that Arodeni provides the software. “Hecho con Arodeni Panel” can sit beside that notice. It does not replace it, and it is not an endorsement of your goods.
Your customer does not accept these terms by buying from you. Nothing here says your customer cannot bring a claim.
Acceptable use
Do not use the Panel or the site to break Venezuelan law, to send spam, to break access controls, or to upload what you have no right to upload.
On WhatsApp, get an opt-in before a message your business starts, honour an opt-out, give the person a way to reach a human, and do not ask in the chat for a full card number, a full account number or a cédula number. Do not use the assistant to buy or sell crypto, or to move goods that Meta forbids on WhatsApp.
If Meta, PayPal or Google restricts us because of the way you use the service, we can suspend the assistant or the account.
Drafts from a model
Some functions send a document or a chat to a language model, today Anthropic or DeepSeek, so it can read a price list, read a supplier invoice, or draft a WhatsApp reply. The provider can change. That content leaves our servers and can be processed outside Venezuela.
The output is a draft. You check amounts, quantities and taxes before you rely on it. It is not legal, accounting or tax advice, and it is not a SENIAT invoice. You are responsible for the messages the assistant sends to your customers, and for giving those customers a way to reach a person.
We do not promise that the model copies a document perfectly, or that it invents nothing.
Intellectual property
We own the Panel, this website, the name Arodeni, and our documentation. You receive a non-exclusive right to use the Panel for your own business while a plan is active. You may not resell access to it.
“Hecho con Arodeni Panel” is a revocable permission to show that the shop runs on the software. It is not a statement that we operate the shop.
If you send us a suggestion, we may use it to improve the product, with no payment owed. That is not a transfer of your business data.
Availability and support
We do not commit to a percentage of uptime. Maintenance, a security suspension, and an outage of PayPal, Google, Meta, a model, a crypto network, power or connectivity can interrupt a function. For a long outage of the Panel itself, your remedy is to stop renewing.
Backups are how we try to recover from a failure of ours. They are not your archive, and they do not promise that one document can be restored. A backup can outlive the retention of a live chat. On a custom system we host, a daily backup of the database does not change that.
Support is the channel we actually answer: [email protected] (opens in a new tab) and WhatsApp. We do not promise a response time, a phone line or an account manager.
We take the care that is reasonable for a small hosted service. We do not promise that the service cannot be broken into.
Confidentiality
Each of us keeps the other's non-public information confidential and uses it to perform this contract, to secure the service and to comply with the law. It may be shared with a provider who needs it to run the service, or with an adviser bound to keep it confidential. If the law forces a disclosure, we tell you when telling you is lawful.
This section sits inside the liability cap below. It does not limit wilful misconduct or gross negligence.
Liability
Except for dolo (wilful misconduct) or culpa grave (gross negligence), and except for sums you owe us for the service, Arodeni's total liability to you for the service does not exceed what you paid us for that service in the twelve months before the event. For a custom project, the cap is what you paid for that project.
Lost profits, lost sales and other indirect damage are excluded to the extent Venezuelan law allows.
On the free plan, where nothing was paid, the remedy for an ordinary failure is that we stop providing that plan. This cap does not wipe dolo, culpa grave, or a right under articles 28, 48 or 60 of the Constitution. It does not stop you from ending the contract and recovering what you paid for a period in which the Panel was not provided at all.
The cap limits ordinary damage between the studio and the business. It is not a penalty, and it is not a waiver of every claim.
Indemnity
You will cover Arodeni against a claim by your customer, your staff or your supplier that comes from your goods, your prices, your deliveries, your taxes, the data or content you uploaded, or a message sent for your business, including a message from the assistant, and against a claim that you broke the law or the rules of Meta, PayPal or Google. That cover is not capped at twelve months of software fees. Those claims are about your business, not about the price of the Panel.
We will cover you against a claim that the Panel, as we provide it, infringes someone else's intellectual property, up to the liability cap. The cover does not apply where the claim comes from your content, a modification you made, a combination with something we did not supply, or use you continued after we told you to stop.
Whoever asks for cover tells the other promptly. Whoever gives the cover controls the defence. You do not pay for our dolo or our culpa grave, and you do not pay a fine that the law does not let us pass on to you.
Suspension and ending
You may stop renewing at any time, as the plans section says.
We may suspend or close access for non-payment, a serious breach of these terms, a security risk, or a legal duty. We tell you when telling you would not make the harm worse. If we end a paid plan early without one of those reasons, you keep access until the end of what you paid, or we refund the unused part of that period.
Ending the plan does not delete your records.
Changes to these terms
We can update these terms. A material change is one that moves the price, the period, the limits of a plan, how long data is kept, who data is shared with, liability, indemnity or the governing law, or that would add arbitration. We tell you at the account email and on the site, with the new text, the date it takes effect, and a real way to cancel before that date. A price change does not take effect before the next period.
If you do not accept a material change, you can cancel. You then stay on the previous terms until the period you paid for ends. Silence is not acceptance of a worse liability clause, of arbitration, or of a claim that we own your data.
A correction that does not move a right, such as a typo or a new address, is made by updating the date.
Law and courts
These terms are governed by the laws of the Bolivarian Republic of Venezuela. The courts of the Área Metropolitana de Caracas hear disputes.
Nothing here stops a complaint to an authority, including SUNDDE or SENIAT, or waives a right the law does not allow to be waived. Opening an account does not require arbitration.
The contract is between Arodeni and you. You do not bring a claim under it in the name of your end customers. That limits the parties to this contract. It does not waive their rights.
General
You may not assign the account without our consent. We may assign this contract to a successor of the studio, and we will tell you. An assignment does not by itself allow a new use of personal data. A PayPal subscription is tied to our merchant account and may need a fresh approval if that account changes.
If a clause cannot be enforced, the rest stands. A court may read that clause down to what the law allows.
These terms, the plan and the price you accepted, a quote you approved, and the privacy policy, are the whole agreement. They do not erase a separate written engagement for other studio work.
We rely on PayPal, Google, Meta and WhatsApp, the model providers, MongoDB Atlas, Cloudflare, including file storage, and the service that sends our email. An outage of theirs, or a change in their rules, can interrupt a function. We are not their agent. Their contracts bind us toward them. They are not a reason to send your dispute to arbitration in the United States. You will not use the Panel in a way that makes us break their rules of use.
A failure of power, connectivity, a data centre, PayPal, Google, Meta, a model or a crypto network, or a change of law, suspends the duty it affects. It does not excuse wilful misconduct, and it does not excuse sums already due. It is not a right for us to keep charging through a long outage of the Panel itself. If that outage runs on, you can stop renewing.
We can refuse an account or a crypto deposit we cannot lawfully or practically take.
